Terms of Service

These Terms of Service ("Terms") govern your use of Edubba, a macOS application published by RUREE Ventures LLC ("we," "us," "our"). By installing or using Edubba, you agree to these Terms. If you do not agree, do not use Edubba.

1. Apple's EULA also applies

Edubba is distributed through the Mac App Store, and Apple's Licensed Application End User License Agreement applies to your use of the app. These Terms supplement Apple's EULA with provisions specific to Edubba. Where the two address the same subject, these Terms control; otherwise, Apple's EULA controls.

2. License to use Edubba

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use Edubba on Apple-branded hardware that you own or control, in accordance with Apple's EULA. You may not:

  • Reverse engineer, decompile, or disassemble Edubba, except as expressly permitted by applicable law
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Use Edubba to violate any law or the rights of others
  • Sell, rent, lease, or sublicense Edubba

3. Edubba Pro and payments

Edubba is free to use for capture, search, manual backup, and organization. Edubba Pro is available as a one-time in-app purchase, currently priced at $39.99 USD, which unlocks AI Chat, the Explore tab, Daily Briefing, Smart Categories, scheduled backups, and multi-device sync.

Edubba Pro is not a subscription — there are no recurring charges. Your purchase is processed by Apple, and Apple's refund policy governs any refund requests. To request a refund, contact Apple directly through your purchase history.

We may change the price of Edubba Pro for future purchasers. Existing Pro users are unaffected; your unlock is permanent for the version you purchased and continues to work on supported macOS versions and in accordance with these Terms.

4. Your content

You retain all rights to the notes, documents, and other content you save in Edubba ("Your Content"). We do not claim ownership of Your Content and do not receive a license to use it, because we do not have access to it — Edubba stores Your Content locally on your device.

You are responsible for Your Content, including ensuring that you have the right to store it and that storing it does not violate applicable law or third-party rights.

5. Multi-device sync and family sharing

Edubba Pro lets you sync your library to additional devices — including devices used by family members or others you trust — via a Google Drive folder that you share. The sync model is one-way: only your primary device writes to the shared folder; devices syncing from it have read-only access.

When you share your library:

  • You are responsible for choosing whom to grant access to your shared Drive folder
  • You are responsible for Your Content shared via that folder, including ensuring that sharing it is lawful and appropriate
  • Anyone who installs Edubba and syncs from your folder uses the app under these Terms
  • We do not have access to your shared Drive folder, the contents of your library, or any record of who you have shared with

6. Bring your own API keys

Edubba's AI features use third-party AI providers — currently OpenAI and Anthropic — under API keys that you obtain and configure yourself. By using AI features:

  • You are responsible for obtaining valid API keys from your chosen provider
  • You are responsible for all charges incurred under those API keys, including charges resulting from your queries within Edubba, regardless of volume, frequency, or unexpected cost
  • We do not receive, store, transmit, or have access to your API keys or your queries (see the Privacy Policy)
  • Your relationship with OpenAI, Anthropic, or any other AI provider is governed by that provider's own terms and privacy policy

If you choose not to configure an API key, AI features will not be available. The free tier and the rest of Pro — capture, on-device search, backup, and visualization — work without any API key.

7. AI outputs

Edubba's AI Chat generates responses using large language models operated by OpenAI or Anthropic. These models can be wrong, incomplete, biased, or outdated. They can produce confident-sounding statements that are not factually accurate ("hallucinations"), and they can misinterpret or omit information from your library.

You should not rely on Edubba's AI outputs for decisions of consequence — including medical, legal, financial, safety, or business decisions — without independently verifying the underlying information. Edubba is a memory tool, not a source of authoritative advice.

We do not warrant that AI outputs will be accurate, complete, current, or fit for any particular purpose.

8. Third-party services

Edubba integrates with third-party services that you configure: OpenAI, Anthropic, and Google Drive. Each of these services is operated by its respective provider under that provider's terms and privacy policy. We are not responsible for the availability, accuracy, security, content, or practices of any third-party service.

If a third-party service changes its API, pricing, or terms in a way that affects Edubba's functionality, we will do our best to adapt, but we cannot guarantee uninterrupted compatibility.

9. Acceptable use

You agree not to use Edubba to:

  • Violate any law or regulation
  • Infringe anyone else's intellectual property, privacy, or other rights
  • Store or share content that is illegal to possess or share in your jurisdiction
  • Probe, scan, or test the vulnerability of Edubba or attempt to circumvent its security or licensing
  • Generate or distribute spam, malware, or other harmful content

10. Privacy

Our handling of information is described in the Privacy Policy. In short: Edubba is local-first, and we do not collect, transmit, or store your personal data on our servers.

11. Trademarks and intellectual property

"Edubba," "RUREE Ventures," and the Edubba logos, wordmarks, and visual identity are trademarks of RUREE Ventures LLC. You may not use them without our written permission, except for nominative fair use — for example, referring to Edubba by name in reviews, articles, or compatible documentation.

All rights in Edubba's software, design, content, and trademarks that we provide are reserved to us, our licensors, or Apple, as applicable.

12. Disclaimers

Edubba is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation, to the maximum extent permitted by applicable law.

We do not warrant that Edubba will be error-free, that defects will be corrected, that the app will be compatible with future versions of macOS, or that AI outputs will be accurate or useful for any particular purpose.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

13. Limitation of liability

To the maximum extent permitted by applicable law, RUREE Ventures LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of data, profits, revenue, business opportunity, or goodwill, arising out of or relating to your use of Edubba — even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or your use of Edubba will not exceed the greater of (a) the amount you paid us for Edubba in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100 USD).

Some jurisdictions do not allow the limitation of liability for certain damages, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless RUREE Ventures LLC and its officers, employees, and agents from any claim, demand, or damages (including reasonable attorneys' fees) arising out of:

  • Your violation of these Terms
  • Your misuse of Edubba
  • Your violation of any law or third-party rights
  • Your Content, including content you share with others via Edubba's sharing features

15. Termination

You may stop using Edubba at any time by deleting the app. Your data goes with it (see the Privacy Policy).

We may terminate or restrict your license to use Edubba if you materially breach these Terms. Because Edubba runs entirely on your device with no account or server-side component, termination by us means we no longer authorize your continued use; we cannot remotely disable your installation.

Sections that by their nature should survive termination — including Sections 4 (Your content), 11 (Trademarks), 12 (Disclaimers), 13 (Limitation of liability), 14 (Indemnification), and 17 (Governing law) — will survive.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms at this URL and update the effective date above. Continued use of Edubba after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, your remedy is to stop using Edubba.

17. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or your use of Edubba will be resolved in the state or federal courts located in Santa Clara County, California, and you consent to the exclusive jurisdiction of those courts.

This section does not override any non-waivable rights you have under the law of your jurisdiction — for example, mandatory consumer protections under EU law.
